On 3 July 2013, the Reorganization Committee of CSRC reviewed and approved the application filed by Suzhou Wutong Communication Equipment Co., Ltd. (stock code: 300292) (“Wutong Communication” or “Company”) for issuing shares to purchase assets.

After the transaction, Shanghai BroadMobi Communication Technology Co., Ltd. (“BroadMobi”) and Huizhou Dubon Industrial Co., Ltd. (“Dubon”) have become the wholly-owned subsidiary and the shareholder with more than 5% shares of the Company respectively. Furthermore, Dubon and its affiliates have become the affiliates of the Company. The transaction between BroadMobi and Dubon regarding product placement and assembly constitutes the affiliated transaction.
